如果我在offer上写excalation clause的maximum up to $550,000 with increments
of $2,000
另外一个买家的是 maximum up to $540,000 with increments of $2,000
那到bid的时候，selling agent是直接拿另外一个买家的最高上限$540K给我看，让我
再上面加$2K 到 $542K？
如果另外一个买家虽然说maximum是$540K,但实际他可能到$530K就不愿意往上加了。那
么我加到$542K岂不是亏了？
写得可能有点乱，不知道有没有表达清楚，希望有escalation经验的朋友多多指教。

朋友刚刚从一家生物公司跳槽，现在想和几个人回国搞一个类似的生物公司在中国市场
做同样的产品。但是她担心跳槽前（或是受雇时）同公司签的合同中的anti-compete
clause，她的前公司是否会以此将她告上法庭呢？
我google了一下，似乎加州是唯一不enforce anti-compete clause的州，除非一些例
外情况，例如保护商业机密。不知道这家生物公司的技术（blood screening）能否算
做商业机密？那家公司能否以泄漏商业机密罪起诉她？

拿下来也可以withdraw，他说540K，被你bid掉他也可以再加。
出offer比的是诚意，让seller觉得你比别人都想要这个房子，更能最后close。比如
inspection for information only，bank commitment letter，以及适当透露一些个
人信息，比如rental lease两个月就到期，必须搬家之类。这些比多出几千块有利多了。 |

But your friend's former employer could sue hin in other jurisdiction or on
other grounds such as misappropriation of trade secrets or breach of duty of
loyalty depending on the facts of the case. If he is serious about
starting a company in China and getting into U.S. market, he should have
retained a legal counsel anyway. |

写了一页纸长的条款。请问这里有没有大侠正好有这方面经验的，如何寻找律师在sign
the agreement之前仔细帮助看一看。如果有推荐律师或者律师所的，那就更好了。
NCA 属于 state law 范畴，公司在NYC，合同里也明确设定 "This Agreement will be
governed by the laws of the State of New York"。
