看看以下报道。如果你聪明，就知道这些中国富人已经被犯罪集团列为要屠宰，掠夺的
猎物了。这也是为什么我反对中国国企私有化，因为财富一定在私有化过程中被掠夺，
而且未必是落到中国人手中。我也反对中国富人离开中国。如果你们感觉中国不安全，
离开了中国，你们的结局是，不仅仅财富被掠夺，命也保不住。
而在中国，如果你够聪明，至少还可以保住性命。另外，这种财富的积累显然是不正常
的。一个人的财富达到47 Billion, 或者几百，几千Billion 都说明社会的分配体系出
了问题，这些人交了多少税呢？ 其实，一个人就算很奢侈，生活所需也消费不了多少
钱。就象乔布斯临死的时候悔恨地说，如果我知道今天会死，那么多钱财都成空，我一
定在我有生之年，把自己的精力除了放在挣钱外，还会去追寻自己的理想。每个人的理
想不一样。但我对富人的建议是，把你挣得钱尽可能地回馈社会，帮助，资助需要帮助
的人，或者传播一种信仰和理念。如果这世界有很多人受过你的恩惠和帮助，想必你的
人生也更有价值。那么有一天你落难的时候，说不定一个曾经被你帮助过的人也会伸手

几个问题：
1). What is your exit plan?
2). What are your visions for long run and immediate near future say in 2-3
years?
3). Fundings.
很多founders在拉队伍的时候，已经有自己的preference on how to exit，明白问清
楚不浪费彼此的时间，一般只有两个exit plans比较吸引人：M&A or IPO。大部分
founders都有明确的timelines, 2年或者3年。
如果你是在“学习”它的新技术不是lead position的话，很快你上面会有CTO，在公司
到达exit的路程上，一只strong team很重要，买单的VC们看重的就是这个，keyword是
people。
不过，如果你这个公司能够很好exit的话，你下一个公司就likely直接作为CTO或者

founder/co-founder 的挑战，就应该自己去做一家公司。如果不行，去问 co-
founders 要 cap table, 看看现在的股权分配方案。原来3个 co-founder, 至少应该
有一个做技术的。 如果没有，这家公司开始的架子就没搭好。
做 employee 的股份是不可能太多的。这一点有大量的市场数据。post A round 有3-5
% 就是 VP 级别的了。 A round 通常会dilute 20%-30%。
idea 可以被模仿; 技术可以被取代。所以对自己能够 bring how much to the table,
要有一个比较客观的认识。
seed funding 要看有多少。还要看哪里来。如果是某个 rich uncle 那里拿的几万块
，价值要打一个折扣。如果是著名 angle 比如说 YC 那里拿的,价值要加至少一倍。 |

。这世界有三种力量可以支持一个人承受所不能忍受的折磨。一种是爱的力量，一种是
恨的力量，一种是信仰的力量。
即使象我这种看破红尘之人，在他们24小时折磨之下，我心中也会不时泛起恨意。所以
，我是能理解人类的那份绝望，特别是看到你的亲人被无辜地夺取生命，你的家园被毁
，你的同族被屠杀的时候。
所以，如果一个印第安人，因为自己的种族被白人完全地屠杀而走向复仇之路，我完全
可以理解。那么日本人因为被原子弹摧毁，战败而走向复仇之路，这种感情，我也是可
以理解。可以理解，不等于说我会和这种仇恨的力量和解而纵容它，让它危害人类。
多数人的感情，不管爱也好，恨也好，都是和自己命运相连，而不能把自己的遭遇放在
历史的环境下，做客观的判断，理性的判断。其实我觉得中国发言人，这句话说的比较
好。固然广岛值得纪念，但南京更不应忘怀。在我们回顾历史的时候，我们不能有选择
性记忆。日本民族的问题就是把自己民族的利益过分的强调，而忽视其他民族正当的权

execs都是一起的，亏不到他们。
公司要是被收购founder还有额外的bonus。当年whatsapp被收购的时候Facebook额外还
给了他家founder 2B。楼主帖子里的good cxo也是揣了大把票子才走人的。
现在讨论的问题是对于那些那很少common stock的工程师来说，unicorn并不比大公司
划算。
目前看来，要不就自己创业或者加入早期团队，传承所谓“硅谷精神”，要不就老老实
实呆在大公司里挣实打实的现金和福利，加上可以真正trade的股票。
当然谁也说不定以后unicorns还会发新大招来招募员工，但是大家不要被空中楼阁给忽

1. founder有背景， 能拉到别人拉不到的项目。
2. founder有技术， 能干别人看不了的项目。
靠Idea，没背景，又不懂技术的founder是成不了的，即使运气好，公司赚钱了，马上

人(co-founder),一个2,3人团队中的一员,应该具有的基本素质。
首先IT创业有其特殊性，前期不需要太多的资本介入。主要的成员是人，不需要太多的
资本投入。所以看似创业成功的门槛很低。任何一个IT从业者都觉得自己可以花点儿时
间完成一个小的应用程序或者网站，达到一夜暴富。我们也听到了太多这样的故事。比
如draw something，angry bird。
但是，另外一个残酷的现实却是。IT从业者99%都有创业的冲动，能自己尝试side
project的，可能有20%，然后能找到团队一起做出个一个靠谱产品的，有1%，能最后成
功退出（被收购或者上市）的，可能不到0.01%。
你是那0.01%吗？这是你在做出与别人一起合伙创业的时候需要问自己的一个关键问题
。在IT业从业者普遍高薪的前提下面，可以说99.99%的从业者进行得所谓创业尝试都是
浪费自己的时间和金钱。

好股份总数，然后预留股份给将来的职位和投资人，这样是不是以后就不需要增加股份
，而且founder的股份比例和数目都不变。
还是现在两个founder各占50%，然后每加入一个持有人，就增加股份数目，也就是稀释
现有的股份，founder的比例越来越小。
请问有没有一个标准做法，如果有选择，请问优缺点是什么

I don't think there is anything wrong with geek. Woz was a geek.
I actually like him for two reasons. 1) He has the basic requirement I have
for my co-founder: intellectual honest. It is OK to say that "I don't know".
Startup is full of unknown (risks), if there is no risk, it is a mature
company (in fact, no company has completely no risk, otherwise, its market
