调后将提交给奥巴马。一旦奥巴马签字，该法案生效，美国公民的人身和民主权利将被
严重侵犯。该法案的实质是在法律上颠覆了美国资产阶级宪政民主制度，并为美国在未
来演变为一个独裁专制的警察国家奠定了法律基础。
美国2012年度《国防授权法》，一旦经总统签字生效，实际上就是敲响了我们的宪
政共和国的丧钟，同时标志着美国开始成为一个在法律上明文规定的警察国家。众议院
和参议院已经分别在今年5月26日和12月1日通过了该法案。现在，巴拉克·奥巴马，作
为一个宪法问题专家，将做出最后的决定。奥巴马将决定，他自己在哈佛大学曾经学习

大家刚出学校找工作的时候没什么相关经验，容易被打着startup旗号招廉价劳动力的
小公司忽悠，这个我理解。今天冒着被拍砖的风险说说我对找startup job的看法。
1. startup跟小公司不是对等概念。所有规模小（SBIR的定义是500人以内）的公司
都是小公司，Startup在我看来仅限于有高度增长潜力的小公司。注意这里的限定词是
“高度增长”和“潜力”。我认为进一般小公司通常比不上进大公司（training，
compensation，horizon），但进一个靠谱的startup完全可以比进大公司性价比高，成
长机会多。
2. 你问成长机会来自哪里，我认为主要来自startup的两个特点：人少事儿多；成
长快导致新生机会多。先说第一点，拿我自己举例，我也是PhD出身，创业前没有任何
工作经验。合伙创业后，我担纲负责的项目有：
a. 跟学校tech transfer office director谈判patent licensing；
b. 完成公司$1M+早期融资的大部，负责维护投资人关系；

发帖数: 1151 | 12 我们现在有两个founder,许多职位空缺，请问建立新corp公司时如何分配股份，是先定
好股份总数，然后预留股份给将来的职位和投资人，这样是不是以后就不需要增加股份
，而且founder的股份比例和数目都不变。
还是现在两个founder各占50%，然后每加入一个持有人，就增加股份数目，也就是稀释
现有的股份，founder的比例越来越小。
请问有没有一个标准做法，如果有选择，请问优缺点是什么

founder处事态度和一些重要的义工不一样，一些义工纷纷离开，
争议的其中一点是，某些会威胁到他人人身安全的资料是不是要无保留地贴出来，
founder的做法是全部贴，一些义工不同意，因为Taliban就有人利用这个网站
收集对他们不利的人的资料准备报复。 |

大数据的时代，真是稍微一看就有说不完的发现。为什么这么说：
看了看那个公司”群击“里的几个主要founder的这两天的推特，还没看全看仔细，就
一大堆的大数据感想，真是都来不及说： 一点点说：
1）其中一个人提到了之前的另外一个报告和公司：曼迪特后来被1０亿收购，估计也是
他们的目标。一个bilion被另一个公司收购？我过去议论过那个公司当时的报告
，今天才看到1个billion的被收购， 于是我wiki上看了看那个公司介绍，再根据那个
wiki又看了看那两个founder的linkedin，我靠，两个都是米国空军情报官出身！ 华为
老总因为当过几年兵，华为被这些东西歇斯底里咬牙切齿仇恨到今天，还明晃晃直接侵
入他的个人邮件，可是那个曼迪特的两个创办人呢，米国空军请报官！那个公司根本就
是棱镜的幌子！
2）曼迪特的投资方VC是哪个公司大家知道吗？KPCB，就是那个故意多次安排阿三和华
女出差，系统性侵华裔女员工，然后又包庇阿三，开除华裔女员工的KPCB.
3）这个群击公司的两个创办人里有一个名字是典型东欧犹太人名字，在youtube上看了
