Morrison）
在撰写公权力这个系列最后一集（NFIB v. v. Sebelius）收尾的时候，我意识到不可
能跳过伦奎斯特（William Rehnquist）在洛佩斯案（United States v. Lopez）之后
，在他去世之前给商务条款的最后一击：美利坚合纵国起诉莫里森（United States v.

1，美国为什么一直都用一部宪法？美国之所以能这么做是因为美国是common law也就是
案例法。除了正儿八经的修正案以外(现在提修正案已经很困难了)美国最高法院的没一
个跟宪法相关的判例都是对宪法的修改，美国宪法原文很宽泛很宽泛。比如美国宪法里
面有一条叫做Necessary and Proper Clause，就是说国会可以制定任何法律来实行宪法
里面提到过的条文只要这些法律necessary and proper，这个你就充分的发挥你的想象
空间吧。然后比如Commerce Clause，本意是说国会有权管理州与州之间的商业，但后来
历史上由于最高法院法官组成不同，对这个很模糊的概念的解释变了4次，后来变成连你
在家里种小麦都可以管，因为这个可能影响到interstate commerce。总之，美国宪法之
所以能用200年，只是因为它原文很宽泛，然后因为是案例法，所以实际上美国宪法是每
天都在变，都在修改，像对那个commerce clause的解读，100多年前和现在是完全不同

话说很多美国政府干过的事情中国政府想都不敢想，比如说著名的案例Wickard v.
Filburn。Roscoe Filburn是一个老实巴交的农民，1940年他因为多收了三五斗被联邦
政府罚款（大萧条时期政府限制播种担心丰收压低粮价），Filburn大喊冤枉说自家种
的谷物都是自家用，又不在市场出售和政府何干？他一怒之下把农业部长Claude
Wickard告上法庭。
这个官司居然最后一直打到最高法院，1942年最高法院九名法官全票判该农民败诉，原

联邦不能强迫州执行联邦法，但有权依联邦法对违法行为进行惩处。这个修正案不常用
的原因可能是太模糊了，很难找到依据来证明宪法有意放权给各州，或者起吗不反对放
权。根据commerce clause，tax clause等等，联邦是能够比较容易制定影响各州的法
律的，比如学校周围不得带枪或买卖毒品，似乎就是根据commerce clause曲折联系上
的。
回到这个case，paspa本身没有问题，commerce clause，也不存在强迫nj执行的问题，
因为nj本身有赌赛非法的法律，也没有要求nj“额外去立法或废法“（这是重点），所
以2012年nj希望立新法是不可被允许的，因为有违paspa。高院不介入也是表示同意。
但2014年nj废除州法这应该是nj的权力，地方法院判nj输有点过了，高院可能会驳回。
其实nj这么做没用，本来赌赛受联邦法州法双重控制，现在只不过受paspa单独控制而
已。nj敢搞赌赛，一样受paspa制裁。但nj自己废除武功完全是自己自由，联邦管不着 |

从制度角度来看，通过回顾中美经贸关系的过往，希望能帮助大家把变化的经济环境、
经济力量以及地缘政治、意识形态等其他问题纳入分析框架，从而全面理解一下中美经
贸关系走到现在，到底有哪些坚实的基础？问题为什么重新被提出来？曾经是如何成功

trump 总算作对了一件事，美国制造业大部分根本就不值得保护，也没法保护，但汽车
业是个例外，就应该把快被搞死的汽车业保护起来，对进口车加高关税。哪怕我花更多
钱买车也值
上游的钢铁和alu 已经加了高关税，下游汽车业也不得不加，否则更多汽车制造会被

四个公司都在东部二线城市。给的base salary 也都一样 120K上下. 做的都是IT/BI

will bring the company's next $200B valuation. 现在看起来，Vision是很对的，
但是
执行得太差了。整个Local & Commerce有个半死不活的wallet, 有了个烧钱烧得一塌糊涂
的shopping express。然后在一年半以前算是放弃了独立PA的地位，完全merge进了Ads。
