IMHO, a good CPA should be able to give you valuable advices regarding your
business operation in an ideal world. However, most CPAs only act like a

limit. Qualified licensed CPAs are professional and honest. Unlike many
people who do not know much, pretend they know everything. These people even
cannot tell between a bookkeeper and a CPA or between a paralegal and a
lawyer. You need to go to a law office for your incorporation plan. Good

刚才查了一下，没找到我说的文章，但是找到一些类似的，看看这篇里面正好回答你这
个问题。怕你没耐心看，我copy到最后了：

比较C corp 和S corp的交税多少的。大概摘要一下（不算州税了，只说联邦）：比如
说一个公司年终净收入是$200，000，这样是C corp的话，先交大约$60，000公司
income tax；然后假设你是唯一股东老板，你给自己红利是130，000，以15%红利税算
就是又$20，000，这样总共联邦税要付大约8万（没算州税）。这样自己的公司的话就
剩下不到$12万。
下面他比较的S corp时用的是个人所得税率28%，但是红利按照全部20万发放算的了。
所以我个人觉得这里面肯定会有个平衡点，比如说C corp的话，开多少W2工资出去以降
低公司的income tax，但是肯定不能太多，不然个人的personal tax也涨了；或者说还
