borrower pay, 还是lender pay. 如果是您来付, 可以看一下lock confirmation上的
lender rebate是多少, 就知道lender是不是把钱先给您.

始的三个月因为rep不能保证收入，需要先签retainer agreement。好像是试用期一样
的，retainning期间每月要付2000块，不论销售情况如何，在这个期间也不算提成。
retainning过了以后由rep决定要不要该为纯提成模式。
这样子一个月交2000，可靠么？拿了钱不干事，retainning完了跟你来一句：不好意思

如果你做的东西不受出口管制，就不用"EXPORT CONTROL LAWS" clauses.
有什么条文是因人/情况而异需要特别注意但容易忽视的吗？
- 这个就看你要签这个NDA的目的啦。如果牵扯到payment的话，要写清楚payment
terms，啥算是项目完成了，如何付款，等等。
另外最关键的就是对于什么算是Proprietary Information。怎么能够有效的保护这些
Proprietary Information啦。
如果真要谨慎的话，最好还是找个律师看一下你的NDA。最起码找个paralegal看一下也
好。
不怕一万，就怕万一。既然都到了签NDA来保护自己这一步了，那怕花点钱也值得吧。 |

是co-founder.本身大家都是熟人，所以技术都是现成的，准备好了的，拿过来直接以
公司名义申请了专利，
刚加入公司不久，之前并没提non-compete agreement的事情，
现在说要签non-compete，一旦离职，一年内不能做同行业的东西，
公司的理由是后面融资，投资人都会要求公司的key person的 NON-COMPETE.
现在还没签，有点当心，小公司的风险本身很大，哪天倒了或者被别人廉价收购了，我
就困在那个non-compete里（如果被解雇有工资补偿，如果我辞职就啥也没有），
无偿提供技术倒也无所谓，毕竟有合适的工资报酬，我也不担心专利，将来再开发新的
专利也不难。
主要的是不想冒牺牲这么多年的研究积累的风险，一两年后不管什么原因离职了， 我
这前面很多年的研究积累就全泡汤了，研究的领域比较具体而狭小的一块，离开研究背
景也很难找到合适的工作。
现在我是公司唯一的一个技术开发人员，公司倒不可能开我， 我只是不想把这事闹僵
，我也需要这份工作，
