structure through which the controlling parties own all or majority of the
voting power. amongst many reaons, 1) it just doesn't seem fair that share
holder put up the capital but have no influence on how the companies should
be run; 2) even if the company is undervalued by the market, a buy-out by
another party is not possible, and this implies reduced downside protection.
