there are a few terms you might want to consider.
1. how much , 10%, 20%
2. how to get them, one-year cliff, 4-year vest. his equity / 4. not one-
year, get nothing
--- if you raise A round, you will be forced to sign the same thing by VCs.
3. what if fire
4. what if hire another one
5. what if raise A round, say, 30% the VC ask, how to dilute.
6. Milestones to get more. say your partners starts at 10%, but he can get
as much as 30% if milestones hit.

发帖数: 10701 | 4 I am not a lawyer. the point is that either you pay $10K-$20k to get an
attorney to draft for you two, or you guys do it with good-will in mind.
You do whatever you both are comfortable and agree. Tell the other party no
one can steal yours.
The movie "the Social Network" is a real good example for the possbile
consequence.
1 - as i remember, the twin brother didn't get any signature from Mark Z.
They still "won", at least settled.
2 - the co-founder, 30% was diluted to 0.0003% (sth like that), he signed
his own term. He sued and settled.
Also the just settled Snapchat co-founder lawsuit, that guy didn't work for
that project for too long. and it settled.
This is based that the project goes bigger and someone thinks it worths a
shot. If it didn't go bigger, or not worth it, who fuck cares?
