addition, after approval by the Board of Directors, you will be granted to
the extent allowable under
applicable securities and tax laws an Incentive Stock Option for 30,000
shares of the Company's Common
Stock. The exercise price of such grant of shares will be determined by the
Company's Board of Directors at a
meeting date after your date of hire. The exercise price of the options will
be the Fair Market Value as
determined by the Board of Directors under a reasonable valuation method in
accordance with Section 409A of
the Intemal Revenue Code. Your options are governed by the terms and
conditions of the Company's 2012
Stock Option Plan (the "Option Plan") that will be provided to you when the
option is granted. The options shall
vest over a four (4) year period at the rate of 1/4'" of the total grant on
the date one year after your date of hire
and an additional 1/481h of the total grant each month thereafter, subject
to your continued employment |

give you the option to buy 30000 share of the company's stock at the price
determined by the Company's Board of Directors at a meeting date after your
date of hire.
Let's say: the excercise price will be $10, then you will have the option to
buy 30000share/4year=7500 share every year at $10/share. If the stock price
increased to 20$/share, then you can buy 7500share/per year at $10/share
and sell them immdediatley for a profit of $75000. If the stock price
decreased or not changed, you do not need to pay, and the options worht
nothing.
