美国的破产法是先保障creditor的权利，先是银行这种secured creditor，然后是供应
商以及象三鹿里面的受害人这种unsecured creditor，以及要是欠员工工资的话员工也
算unsecured creditor，然后是股东。至于员工一般是哪凉快哪待着去。
从这篇文章来看，好像国内的破产法是要先保证员工的利益，然后才是unsecured cred
itor。社会主义特色？
当然两种都能被骂，就看你什么立场。你要是站在员工立场，你就要骂美国式的不顾员
工死活。你要站在creditor立场，你就要骂中国式的。这个三鹿案子比较特殊的就是它
的unsecured creditors里面很多是产品受害人。这个确实不好办，无论先保障哪方都要
遭另外一方骂。 |

证据来证明，结果奚落了你自己。能拿来骂土工的实例万万千，因为土工的bond本来就

关于债券和约的解释，谁欠钱谁还钱和约中条款如何解读，由和约的约定法院管辖按照
约定的法律解读，尤其如果当事方已经参加约定法院的诉讼过程，被视为任何豁免的最
有效的放弃。
但是这并不等于当事方的财产也受该法院管辖，尤其如果债务不涉及抵押财产的。主权
债券都是没有抵押财产的unsecured debt。当事国将某一合同的解释权交给某一法院管
辖，并不意味这当事国放弃了对其所有财产的豁免权。说简单点，阿国欠几个
unsecured creditors钱，美国法院不能把阿国驻美大使馆的房子或资产强制变卖以执
行判决。
阿国在国际法院并没有就纽约法院对债券的争议有管辖权提出疑义，但是美国法院冻结
了阿国在美国资产，导致阿国没法履行其他债券下的义务，阿国认为这超出了美国法院
的管辖权，或者主张说阿国在美国的资产有主权豁免，是有官司可打的（并不是说它一

统统还清。
但是收到一家叫做Meadowbrook Financial Corp的信说可以提供
$60,000 Debt Consolidation Loan at 3.18%
我打电话过去问，他们说这个60K的credit line和3.18%的rate都是pre-approved，就
是只要我要就肯定有。
3.18%对于我来说是一个很低的rate，我的capital可以很容得到比这个高的yield。所
以如果这个offer是真的话，我很想跟他们借这这个loan。
但是觉得3.18%的rate有点too good to be true。房屋贷款那种有secured loan的rate
也就是3%左右。如果我自己去银行借unsecured personal loan，利率应该是8%以上。
这家公司怎么可能以3%这么低的利率借给我unsecured loan？
这里面有没有什么scam啊？ |

发帖数: 82 | 27 破产后大家分钱有优先级的。先是政府(领导先走)，然后是员工，然后才是债主。债主
也有优先级。银行借款基本都是有assets back的，这叫secured，比unsecured要高。
这个记录是可以查的，原则是先到先得。估计那30w基本是给那些级别比银行高的，而
且银行觉得backed assets还有用的。比如用一辆车抵押了5000块，车值2w。银行就可
以考虑把车留着把钱还了。你基本上是unsecured creditor，银行没什么动力还你钱。
你前面排了那么多人，正常情况下再怎么要也轮不到你，除非你能证明某些人明知破产
还找你借钱（Bona fides），而且只是针对你，你可以找那个人要钱。

我室友们连wireless都没有问题，但是我的电脑连上以后
可以发送但是receive是0. status上可以连到wireless服务器上
但是wireless服务器对internet的连接是断的。
在桌面功能框的显示就是两个小电脑标志上没有哪个security的sign。
我连别的unsecured的wireless都能连上。确定密码没有输错。
有人知道怎么fix这个吗？感觉我的笔记本好笨。。diagnose告诉我modem或者adptor没
有连上，但是显然不是这样的因为别的室友都没有问题。。

拿CUSIP ＝12557WTC5来说吧， 是CIT 2012年8月15号到期的利息率为7.6%的senior
unsecured bond, 到bond mature的那一天， 如果CIT不破产的话， CIT必须支付给
bond持有人票面价格 (一般是1000元一张)加上最后一次的利息。 昨天， 这支bond卖
到了35c on a dollar左右， 就是 每张票面价值1000元的bond只要350块就可以买下来
，大家去算一算收益率大概是多少。
万一CIT宣布破产， 如果重组成功， 一般来说, 作为债权人的bond holder不会给 普
通股的持有人留一分钱， 因为普通股的持有人是公司的主人， 而破产后公司要对债权
人负责。 如果清盘，索赔的顺序一般为，government (assuming company owes tax)

我的估计啊， GAP (old ticker) 的命运大概是像Winn-Dixie一样 (emergerd from Ch
11)， K-mart (bought by Sears) or Toys R Us (bought by vulture capital) 的
可能性小一些， Circuit City (completely gone, wiped out from map) 的可能性非
常小。Unsecured senior debt现在的价格大概是25c on a dollar。

这种人人都能想到的主意早就有人实施过了，法院关于这方面的案例一堆一堆的，都不
用特意去查，教科书上就有。别说这么明显的方法，有个案例里面有人费劲心思一个一
个的用特复杂的方式连卖带spin off，子公司与母公司，新公司老公司之间合并分拆，
分拆再合并，上天下地的折腾了一番，想留一个烂摊子破产，最后都被法院给否了。除
非你想说这两年美国司法烂透了，不然这么简单老旧的方法我看不到成功的可能性。
“谁给股东赔过钱？”，你还是没搞明白股东和债权人的区别。公司破产时要先赔抵押债权人(secured creditor),然后是非抵押债权人(unsecured creditor),然后才能轮到股东。 |

这还不算以房产抵押的利息很低的line of credit
国内前几年房地产特别火爆的时候，不要说prime-1乃至prime-1.5的home line of
credit，就是prime+3的unsecured line of credit，借钱出来投国内，那都是至少10%
的回报。 |
