几点建议吧：
1。保护好家人的信息。
2。利用法律保护自己，如果没记错，你的公司是llp，当时我还问你你有资格成立llp
么，如果真是llp，至少是有限责任；如果是corp，按正常清算顺序来偿还。不过小贷
公司这种东西本来就不是那么在明面上的，靠的也不是法律。
3。老话了，收益跟风险正相关。这种高回报，就是舔着刀尖赚钱。现在房市回春，说
不定还有机会。
4。圈子里面发财，门槛也高，比较难进。
5。我个人觉得现在的平行进口车，可能是个机会。如果你想，我们说不定可以合作。
这个经历不是谁都能有的，只要你挺过了这一劫，日后可能会成长为牛b的投资人，我
从来不觉得投资是学出来的。hang in there, add oil. |

S-corp不需要，但是要求每一个shareholder的美国身份，公司名字随便取
我的建议：
如果这些您都不太明白，就不要跟着开cpa firm了。
1.正规的professional service firm 大都是llp,所以llp相对于其他类型，要求更严
格。s-corp就算了吧，别开了公司以后，又开始打价格战，把整个行业全给搅乱了~对
谁都不好
2。cpa firm的risk也很高，尤其要做audit的话。
3。你遇到个不靠铺的合伙人，会合理合法的玩你，尤其是你在连这些最基本的biz law
都不太清楚的情况下~~ |

本人及粉丝团队等拿起法律武器维护权益。
在美国当地时间6月6日，位于洛杉矶的Glaser Weil Fink Jacobs & Shapiro LLP律师
事务所通过私人送达服务，将一封律师函分别交到博讯的信件处理地址和主编的住处，
律师函大意是维护章子怡小姐的名誉，指称博讯的报道是恶意和错误的，并提出几项要
求：要求博讯撤除有关报道；交待信息来源；向章小姐赔礼道歉；对章小姐的损失做出
赔偿。
面对诽谤中伤，章子怡说：不惜一切代价，也要法律解决！ 就此事，博讯的法
律顾问Huang, Tang, and Marvin LLP律师事务所的黄笑生律师和William J. Marvin律
师做出回应：援引美国宪法第一修正案保护新闻自由的条款，表示要保护消息来源，并

，沒有講一定要請LLP出financial statement。
對於那些要求OCEF在網上放IRS 稅單的人，更加可笑！ 同學，你們見哪個NGO將自己稅
單擺到網站啊？？ 為什麼我敢說這些整日叫囂要IRS的人很少甚至幾乎未參加過義工活
動或捐款？ 因為他們連common sense都沒。

2017年11月27日是红黄蓝在美国上市刚刚满两个月；而这一天，也就是刚刚， 第一起
针对红黄蓝的股东集体诉讼正式爆发，第一份诉状正式递交到美国纽约南区法院。
前几天，美国律师仅仅是发出公告说进行调查；而在11月27日，美东时间下午，则是正
式向法院递交诉状。
此次，向法院递交诉状的是有80年历史的美国华尔街老牌律师： Pomerants LLP。
80年来，在华尔街的街头结尾，风雨无阻，这家律所代理另了无数证券集体诉讼，包括
刚刚获得5000万美元赔偿的Groupon 诉讼案件、BP石油、巴克莱银行诉讼案、雅虎诉讼
案等等； 都是一些大案要案。
Pomerantz LLP宣布，针对RYB教育公司(简称“RYB”)和公司和某些管理层的集体诉讼

雅图被提审，他们被控合谋窃取T-Mobile美国公司的商业秘密。
路透社报导，美国司法部表示，华为设备有限公司（Huawei Device Co Ltd）和华为设
备美国公司（Huawei Device USA Inc）涉嫌窃取T-Mobile机器人技术，来测试智能手
机的耐用性。检方提出10项指控，指被告涉嫌盗窃T-Mobile的商业机密、企图盗窃商业
机密、七项电汇诈骗，以及一项妨碍司法公正。
华盛顿州西区美国检察官办公室一位女发言人表示，华为公司代表将出席此次提审。华
为没有立即发表评论。
此外，纽约布鲁克林的联邦检察官指控华为及其附属公司涉嫌串谋、银行欺诈、电汇欺
诈和诈骗等罪行，违反（及共谋违反）《国际紧急经济权力法案》（International

Today, Lambda Legal Defense and Education Fund took what one of its lawyers
calls "a strategic step" in the national effort to advance marriage equality
by filing a federal lawsuit in Nevada seeking equal marriage rights for
eight same-sex couples in the state.

的电脑系统，取得有关并购交易的非公开信息，并由此获得逾400万美元的非法利润。
美国曼哈顿检察官办公室发布新闻稿称，上述交易员在至少五家上市公司宣布将被收购
之前购买了它们的股份，其中包括制药公司和芯片制造商。根据美国检察官办公室，这
三名交易员为Iat Hong、Bo Zheng和Hung Chin，他们通过入侵负责并购交易的律所合
伙人电邮帐户获得交易消息。根据起诉书，这三人在2014年4月至2015年底间从事了相
关股票交易。
检察官办公室并未披露律所名称，但《华尔街日报》(The Wall Street Journal)曾于3
