我还没有仔细看信件，大概是不要出庭，只是给kessler回信说你买卖了多少股，买卖
价格是多少。

有没有可能因为几个新PARTNER的加入, 小PARTNER在遭遇了ORDINARY LOSS后, 他们的
CAPTIAL 反而增加?

希望熟悉的业内人士给点相关的信息。
这个公司的前身是morgan stanley的proprietary algorithmic
trading unit。现在从ms里面分出来了，貌似是正在分离
的过程中。据说分离的原因是银行受goverment regulation太多。
想问下这个公司的稳定性和前景怎样。本人是理科PhD，在找junior
quant的职位。首先当然不希望刚找一个就被裁，其次希望不是一个
正在萎缩的方向。当然在版上看到大家都讨论说quant整体在缩水。
我指的是quant内部这个方向相对于其他方向。

这几种组织模式的根本异同点在于两个方面：税务，以及及股东/合伙人/成员责任。
从这两个方面讲， Corporation（有时缩写为 Corp.）和 Incorporated（有时缩写为
Inc.）没有本质的差别。二者都是要在公司实体和股东两个层面被征税。另外，股东都
对公司的
债务承担其出资范围内的有限责任。
相比之下，LLC 和 LLP，与 Corp./Inc. 最根本的区别在于，LLC/LLP 都是「pass
through tax entity」, 也就是说在 LLC/LLP 的实体层面不被征税。LLC 的所有者一
般被称为「member」（成员），LLP 的所有者被称为「partner」（合伙人）。成员/合
伙人从 LLC/LLP 中所获得的收益，将作为其个人收入的一部分被征税。另外，成员/合
伙人对 LLC/LLP 的债务并不因为其拥有 LLC/LLP 的 equity（权益）就直接对其债务
负责。

别处合法购买，由于不再需要，就挂在ebay上出售。
今天突然收到一份来自ADOBE代理律师的email警告信，要求我终止销售，还要在10天内
上缴1200美元罚款，否则就采取进一步法律行动。
现在的问题是我合法购买的软件在ebay上销售，觉得没有什么问题。我不知道是否应该
缴纳该罚款。如果不理它，我担心他们会给我的家里地址发正式的律师信。
在此请教大家如何处理，谢谢

子公司将于2月底在美接受传讯。
路透社2019年1月29日报道称，根据29日提交给法庭的文件，华为技术有限公司的两家
子公司将于2月28日在西雅图接受传讯。
报道称，美国华盛顿西区检察官办公室的发言人称，华为的公司代表将出席听审。
法庭记录显示，两家华为单位已经聘请了几名律师，包括美国司法部前副总检察长Jim

展壮大和避免不必要地被提起诉和赔偿损失，是大有影响的。
外国包括外州的公司要在美国某个特定的州做生意，必须要注册，否则会受到到税务上
的惩罚。有些州法律规定，在商业活动中出现纠纷，没有注册的公司不能以原告的身份
提起诉讼，而只能以被告身份应诉。不过，外国（州）公司与那个州签订的合同还是有
效的。
来自中国的投资者可在美国任何一个州投资注册企业。一般中国公司会选择在有主要经
营业务的州，华人比较集中的加里弗尼亚州（California）和纽约州（New York），以

式提起诉讼。报道还称，美国当地时间6月11日，章子怡也通过美国律师Glaser Weil
Fink Jacobs & Shapiro LLP正式起诉该失实报道的传播源头—海外某所谓＂新闻网站
＂，依法追究该网站违背基本新闻报道原则，仅凭一封来源不明的匿名信便不负责任地
发布侮辱诽谤当事人报道的行为。

1、在美国当地时间6月6日，位于洛杉矶的Glaser Weil Fink Jacobs & Shapiro
LLP律师事务所通过私人送达服务，将一封律师函分别交到博讯的信件处理地址和主编
