Carried Interest之所以会按Capital Gain处理， 是因为技术上，是投资人内部（这
里也包括高级管理层 ）对于盈利的再划分。这样整体上和投资人的总盈利按Capital
Gain处理一致。2%的管理费因为是没有风险的必须付的，不算Capital Gain，再支付给
雇员以后，雇员（如果管理层那这部分钱也一样）按Ordinary Income纳税
以上都是适用于对冲基金。投行的无论工资还是奖金，都是Ordinary Income，因为投
行不是partnership |

首先，所谓conflict of interest,在judicial disqualification程序上有两种路径，
要么法官recuse sua sponte,要么一方上motion。lying trump要是觉得在法律上这个
coi成立，就不用whine了，上一个motion就算是denied了也是上诉的最佳理由，end of
story.
其次，所谓COI的理由成不成立？或许lying trump 这个理由可以骗poorly educated的
达克，骗不了其他人。
原因如下
Judicial disqualification规定主要在28 usc 455. 455a实践中容易一些，455b举证
责任非常严苛，除非有compelling evidence证明特定的impartiality，否则压根没戏。
