这个问题，如果只说一般的PREFERRED STOCK，不会稀释股权，会计做账如下

其实会计上我们一般认为，PREFERRED STOCK，更像是LOAN而不像COMMON STOCK，按照
利息（PREFERRED DIVIDEND)每年支付，它于LOAN的主要区别如下：
1. 一般没有DUE DATE，何时买回，比较随意，不会因为DEFAULT造成倒闭
2. 特别困难的情况下，可以不付利息（DIVIDEND）
3. 不会受到CONVENANTS的限制
4. 报表上好看，PREFERRED STOCK记在EQUITY里，LEVERAGE比较漂亮
所以一般来说，筹资用PREFERRED STOCK，是非常淫荡的。对于PREFERRED STOCK的
HOLDER来说，他的主要优势在于在清算资产是，优先级远大于贷款。
