Fully Paid and Non-assessable Block Share (Each Block Share Represnting
an Aggregate Par Value of Ten Pesos) of the Captital Stock of ATLAS
CONSOLIDATED MINING AND DEVELOPMENT CORPORATION transferable on the books of
the Corporation by the holder hereof in person or by duly authorized
attorney unpon surrender of this Certificate properly endorsed. Each such
Block Share repressents and is the equivalent of ten ordinary shares of the
Captital Stock of the Corporation of the par value of One Peso each. Article
Seventh of this Amended Articles of Incorporation of the Corporation
provides that holders of ordinary shares are entitled to hold the same in
Blocks of ten or multiples of ten shares represented by Block Share
Certificates and that ordinary share certificates which has been converted
into Block Share Certificates may be reconverted into ordinary share
certificates to represent such shares. A true and correct copy of said
Article Seventh appears on the reverse hereof. to which reference is hereby
nude and to all of the provisions of which the holder hereof by acceptance
assents. This Certificate is not valid until countersigned by the Transfer
Agent and registerd by the Registrar.

signatures of its duly authorized officera.
