注册也需要几百，而且地址不好弄。你需要一个外州的地址来成立公司啊。除非你有朋
友在那里。
所以，我也不知道。继续研究，问问朋友。

知道如果只做加州外的online生意有没有不同。下面有个表比较三个州的不同，而且据
说在wyoming申请是最快的，小于一个月。

我目前没有很好的做什么业务的想法，我只是想先搞起来，有备无患。
我不知道在美国开LLC，法规对公司的章程或者公司名字与以后从事的业务有很严格的
match要求吗？比如，如果我是一个咨询公司，我只能从事一些相关行业呢还是我可以
从事很多行业，比如进出口，医疗之类？

包括收信，转信。
注册公司程序很简单，选好公司类型和某个州之后，就交给代理办。
公司类型的比较见这里:

选哪个州，也比较简单，就是那几个避税州和自己所在州。
无论什么身份都可以注册公司。自己做股东没有问题。

钱。
业务就是还没想好具体做什么，只有慢慢看。身边很多朋友在做出国留学移民咨询等等
，大大小小都有很多。这个版上也有不少人在做这方面的。

工，其他的都没有精力弄。

而且你开始练llc可能都不需要，dba就可以。

oneself as registered agent, and 7-day trial (remember to cancel/downgrade)
for the registration. You just pay the state registration fee. There are
quite some good stuff for you to download in that 7-day period.

a. Check for Name availability
b. Reserve a name $10 along with the application form.
c. It takes 4-6 weeks to get the name reservation. Prepare Articles of
Organization of a LLC. $70 filing fee for the form and takes up to 8 weeks
for processing. If request expedite service, for 24 hours service is around
$250.
d. After the Article of Organization of a LLC has been certified, will
receive a LLC number. then can apply for Federal Employer Identification
Number through IRS online system.
e. File Statement of Information with $25 fee. You will receive a paper
copy with the certified Article of Organization of a LLC.
f. Open a business bank account, then good to go!
The process is very time consuming if you decide to do it by yourself.. I
recommend that you incorporated the business via an agent if it only cost
you couple hundred dollars.
所以说，自己搞的话应该会学到不少东西，但是会花2－3的月的时间；找agent的话，
就会快一点，也不用自己去弄。 我估计会找agent.

Although this time I used Rocket Lawyer (for free anyway), several years ago
I registered a non-profit and it takes about 1-2 weeks. Everything can be
done online.
The reason to use a lawyer is to they will bombard me with advices (so they
can charge a fee), and some of them are quite helpful for reminding me what
to do next.

I do not recommend incorporate the business in different state. Because you
will conduct business in California and holding a California business bank
account, and make all the business transactions and decisions with CA. You
would need to file CA income tax returns anyway.
If you are an IT company with potential IPO and multi-state operation, then
file in Delaware is a better option. |

in my opinion, it's better to register llc by oneself but not by a lawyer.
several reasons: it's not very complex thus there is no need to waste money
in hiring a lawyer for this; sooner or later,one needs to understand those
regulations unless he/she wants the lawyer to run business for him/her;if
there is any problems and one doesn't know anything about what his/her
lawyer did, lawyer won't be very helpful as one expects.

They will file with the state the same (or next business day). But in many
states, standard processing time is longer than 7 days. So, after you file
it, regardless whether your filing approves or not, cancel that plan.
Good thing for using them is there are tons of free templates, for example
by-laws, certificate templates... you could use initially, until you get
somebody and money to invest on. Create and download them in that 7-day
window. As a fee-free member, you have a few personal document you could
use.
How they earn money? You are on their mailing list, and that resource is
money for them. Periodically (perhaps once-twice every week), they will
bombarded you with their pay services, and that is when revenue begins.
Then why still use them? Before you know much, you could use some of these
templates for unessential stuff but you have to make. I do not recommend
you use those templates as legal advise. So for contracts, you'd better to
have a lawyer look at. But for internal use among partners, early employees
..., many would be sufficient.

昨天order以后,填好资料就联系我了.
然后先做preliminary name check.过了.
接下来需要我提供ORGANIZER Signature,签好字发过去.今天回复: Your formation

还是蛮快的.
在填公司成员的时候,就写了我一个人的名字.本来想加上LD,但是怕又要多提供材料,就
没写.
之前做research的时候, filing has been accepted by state好像要4-6周,不知道用
中介会不会快点.
下一步就是prepare Articles of Organization of a LLC了 |

1，你如果人在本州，然后你在本州做生意，那么就用你自己的地址，house，公寓都可
以；
2，你如果想在外州做生意，但是你人不住在哪里；要吗你用外州朋友的地址注册公司
，要吗你就找一个register agent，每年付一定费用，用他们提供的地址；

知道如果只做加州外的online生意有没有不同。下面有个表比较三个州的不同，而且据
说在wyoming申请是最快的，小于一个月。

业务就是还没想好具体做什么，只有慢慢看。身边很多朋友在做出国留学移民咨询等等

for the registration. You just pay the state registration fee. There are

e. File Statement of Information with $25 fee. You will receive a paper
copy with the certified Article of Organization of a LLC.
f. Open a business bank account, then good to go!
The process is very time consuming if you decide to do it by yourself.. I
recommend that you incorporated the business via an agent if it only cost
you couple hundred dollars.
所以说，自己搞的话应该会学到不少东西，但是会花2－3的月的时间；找agent的话，
就会快一点，也不用自己去弄。 我估计会找agent.

Although this time I used Rocket Lawyer (for free anyway), several years ago
I registered a non-profit and it takes about 1-2 weeks. Everything can be
done online.
The reason to use a lawyer is to they will bombard me with advices (so they
can charge a fee), and some of them are quite helpful for reminding me what
to do next.

I do not recommend incorporate the business in different state. Because you
will conduct business in California and holding a California business bank
account, and make all the business transactions and decisions with CA. You
would need to file CA income tax returns anyway.
If you are an IT company with potential IPO and multi-state operation, then
file in Delaware is a better option. |

several reasons: it's not very complex thus there is no need to waste money
in hiring a lawyer for this; sooner or later,one needs to understand those
regulations unless he/she wants the lawyer to run business for him/her;if
there is any problems and one doesn't know anything about what his/her
lawyer did, lawyer won't be very helpful as one expects.

They will file with the state the same (or next business day). But in many
states, standard processing time is longer than 7 days. So, after you file
it, regardless whether your filing approves or not, cancel that plan.
Good thing for using them is there are tons of free templates, for example
by-laws, certificate templates... you could use initially, until you get
somebody and money to invest on. Create and download them in that 7-day
window. As a fee-free member, you have a few personal document you could
use.
How they earn money? You are on their mailing list, and that resource is
money for them. Periodically (perhaps once-twice every week), they will
bombarded you with their pay services, and that is when revenue begins.
Then why still use them? Before you know much, you could use some of these
templates for unessential stuff but you have to make. I do not recommend
you use those templates as legal advise. So for contracts, you'd better to
have a lawyer look at. But for internal use among partners, early employees
..., many would be sufficient.

在填公司成员的时候,就写了我一个人的名字.本来想加上LD,但是怕又要多提供材料,就

发帖数: 244 | 94 只要不是PO BOX 应该都可以。在美国这边注册公司对地址要求不那么严格。
1，你如果人在本州，然后你在本州做生意，那么就用你自己的地址，house，公寓都可
以；
2，你如果想在外州做生意，但是你人不住在哪里；要吗你用外州朋友的地址注册公司
，要吗你就找一个register agent，每年付一定费用，用他们提供的地址；
不过每个州不一样。我在加州

1. check name : 填个表，写上你想要的名字， 寄给州立， 他们会告诉你是不是可
用．
一般来说， 你现在想用的名字， 如果还没有被别人占用， 一时半会也不会有人用
．
所以根本不需要reserve name.
2. 填表寄到州里申请．等州立通知． 现在ca 才处理到１２月中的申请．
后面的还不知道．， 我１２ 月底 交的．

发帖数: 244 | 100 问了有公司的朋友。加州$800的州税不需要现在交，下次报税的时候交。
现在看来，不需要做什么事情。目前也没有业务。先放在那里。
下面是agent给我写的，给大家分享一下注意事项：
The owner(s), officer(s) or member(s) are responsible for:
- Filing annual reports and paying any annual state fees to keep company in
good standing with State
- Maintaining proper corporate/llc records such as Corp Minutes & Bylaws or
LLC Operating Agreement
- Registering for a state (sales) tax ID number when required for your
business
- Obtaining any permits or licenses required to operate the business - State
and Local.
- Filing business tax returns
如果目前还没有业务，应该还不需要去开设一个business bank account吧。
