国内好朋友要做IT的startup，刚接到要求加盟的邀请。如果我加盟，目前我所能做的
就是投资,不多，几千美圆。产品原型已经做出来了，下个月就给客户evaluate。
我对于产品市场团队只有初步了解，不知道有什么需要特别注意的？不知道大家有没有
人在美国，投资、加盟国内startup的经历？请指点一下吧

发帖数: 16 | 3 没有做过startup的经验，我所能想到的几个简单问题：
1.在哪里注册？中国还是美国，当前市场是中国，但注册成美国公司在国内研发销售会
有优惠？
2.如果公司产品卖掉了，除了投入在生产之外，利润一般怎么分配？按股份多少？还是
按工作量？
3.我几年之内还会在美国，怎么才能remote和国内的伙伴比较好的合作？

发帖数: 9224 | 4 I'd say don't do it if you still want to stay in USA. There is no point.
Also, there will likely be disputes between all partners, if you are in USA
and appear to be not contributing much to the startup.
Go back to China man and do it in the proper way, or, stay in USA and enjoy

发帖数: 4 | 5 If you are in US, and don't care about the few thousands bucks, you can do a
passive investment, just give them the money to buy some shares of the
company and leave them alone. If the company grows, you can get some return
, if not, you probably lose it all.
However, if you want to go active, staying US could be difficult unless they
want to do business in US.
Just one thing, whatever your do this, just make sure everything is on the
legal paper, especially for shares, distribution of profits

Good point. Yes, put everything on paper, that's your safe bet. Even for
best friends, you need to do it as in business.

外资有外资的优惠，国企有国企的好处，具体取决于你所做的行业。现在提倡本土化，
有些项目内资更容易拿到。
如果是股份公司，当然是按股份，工作量最多影响工资和奖金。 但是这不是说一开始
给你5％的股份，后来你就能拿到这么多比例的利润的，利润分配完全看成立协议怎么
写，你最好在签协议之前找个律师帮你看看。
勤着跑吧，不过你的投入就不止几千美金了。
除了这几千美金，你还有技术投入么？很难想像会有人为了几千美金拉一个股东进来？
是不是要借你的名头，把产品说成是美国先进技术什么的？
