制药行业还不是每况愈下， 裁员滚滚
有的时候， cash越多，表明公司越不敢扩大规模

IPO的filing，显然应该知道FB有多少liability. 随便说一个，上市前FB给员工和
consultant的RSU里面invest的就会有tax liability, 员工拿走66%的股数，IRS拿小本
本记下应缴税额，这个是按IPO价格算的，FB要从口袋里掏现金缴给IRS。你读了'
document', 知道IPO的时候FB仅仅这一项的liability是多少吗？如果股价维持在低位
，你知道FB又赔了多少?

这个理解不对。 lockup是公司和underwriter定的，IRS为什么要让公司自己决定缴税
的金额和时间？ 公司可以规定lockup50年，就可以50年后才缴税？ 另外lockup的是员
工手里的，公司扣走的完全可以没有lockup, 或者时间短。
已经vested的RSU就要缴税，员工自己选择拿所有股数，自己承担风险，选择扣股，公
司承担风险。

不过看大部分的分析都说基本都是IPO后5-6month vest的
估计就是vest直接lockup结束了
facebook09年初之前才有option的吧？后来的都只有rsu了
要是按照大部分都是ipo前vest按照ipo价格算，那前一阵子某报纸哀号啥加州税收入又
少了干啥
