Pfizer’s chief executive has called on Washington to support its $160bn
takeover of Dublin-based Allergan, as politicians including Hillary Clinton
lined up against the drugmaker’s attempt to slash its tax bill by moving
overseas.
The third-largest announced deal in history caps a frenzied year of mergers
and acquisitions, bringing the total value of global transactions announced
since the start of 2015 to more than $4.2tn. This surpasses the previous
record set in 2007 on the eve of the financial crisis, according to Thomson

Pfizer, founded in Brooklyn in 1849, stands to save at least $21bn in future
tax bills by moving the combined group to Ireland, joining other brands
which have fled overseas through “inversions”, such as Burger King and
Liberty Global, John Malone’s cable group.
The largest deal seen in the sector, which requires US regulators’ approval
, drew condemnation from politicians including Mrs Clinton, the frontrunner
for the Democratic presidential nomination. Ian Read, Pfizer’s chief
executive, countered that it would allow the combined group to boost
spending on discovering new drugs by accessing cash that had been trapped
overseas.
“I cannot comprehend why it’s not being applauded by the political class,
or why anyone would want to frustrate this transaction,” Mr Read told the
Financial Times. “It’s a great deal for the US, given that it frees up our
ability to invest in American science.”
However, the companies said they expected to cut roughly $660,000 from the
combined group’s research and development budget over the next three years,
as part of a broader effort to save $2bn in costs.
Frank D’Amelio, Pfizer’s chief financial officer, told analysts the new
company’s effective tax rate would be 17-18 per cent after the deal closes,
compared to 25.5 per cent in 2014.
Mr Read’s second attempt at a tax inversion comes roughly 18 months after
he abandoned a bid for Anglo-Swedish AstraZeneca for £69bn in the face of
fierce pressure from British politicians.
Pfizer’s acquisition of Allergan is being attempted against a similarly
difficult political backdrop in the US, where President Barack Obama has
denounced inversions as “unpatriotic” and where drug prices have become a
major theme in the presidential campaign.
“This proposed merger, and so-called ‘inversions’ by other companies,
will leave US taxpayers holding the bag,” Mrs Clinton said, adding that she
