firm makes sure the process proceeds according to the law, or at least a
reasonable interpretation of the law. It always represents someone, either
the IB or one of the companies.
As an individual corporate attorney, the most significant difference, I
guess, is the compensation scheme. At year end, you get a 100+% bonus in an
IB, versus something much less in the predominant majority of the law firms.
