。 下面是一些实际问题，该如何解决呢？
1. 公司申请的专利与学校怎么分？ 一般是各50%吗？还是商量这来？
2. 公司申请的SBIR/STCR grant与学校有关吗？
3. 公司盈利的话，与学校怎么分？
4. 如果有投资，与学校有关系吗？
5. 投资需要交税吗？
6. 如果与中国的公司合作，或者有中国的投资，有多麻烦？
希望有经验的同仁介绍介绍。

发帖数: 2041 | 8 First, you need to ask your lawyer. If you don't have one, find one. To
answer some of your questions (this is not a legal advice):
1. You can ignore the school, but it does not mean the school cannot sue you
later on. If the stuff is from your school's lab, you will lose. Ask you
technology tranfer office first!
2. If the patent is generated from school's resources, some schools will
retain 100% of the patent right unless the school refuses first (this is
usually in the faculty handbook somewhere).
3. SBIR doesn't care about the school, but you need to disclose it depending
on your school's conflict of interest policy. As a PI of a SBIR grant, you
have to be a full time employee of the company. STTR is a different story
since the PI is not required to be a full time position at the company, and
the grant is usually subcontracted back to the school.
4. Usually the company keeps for itself, but you have to pay a licensing fee
if you have to license any patents from the school.
5. It is complicated, you need to find an accountant.
6. Kind of, you are likely to be excluded from the SBIR grants though.
Unless you lie and at risk of going to jail. Yes, they are sending people
to jail now...the first one unfortunately is a Chinese PI

直接问他们最好
10%已经很多了，再多就不好scaleup了，天使投资，vc都要股份，以后顾高管也要给股份

What you said makes lots of sense. I will first discuss with my university's
Technology Transfer Office and follow what they say to avoid legal issue.
If they don't want to apply the patent, then I will request a release letter
and apply "myself".
I said 10% is fine with me because I want things are simple.
If anyone has more comments/advises, please let us know.
