继christmas在ER待了一天之后，娃又住了三天院，吊水的过程惨不忍睹。

决的问题。 在注册成立公司之前有很多因素要考虑。周密谨慎的策划对日后公司的发
展壮大和避免不必要地被提起诉和赔偿损失，是大有影响的。
外国包括外州的公司要在美国某个特定的州做生意，必须要注册，否则会受到到税务上
的惩罚。有些州法律规定，在商业活动中出现纠纷，没有注册的公司不能以原告的身份
提起诉讼，而只能以被告身份应诉。不过，外国（州）公司与那个州签订的合同还是有
效的。
来自中国的投资者可在美国任何一个州投资注册企业。一般中国公司会选择在有主要经
营业务的州，华人比较集中的加里弗尼亚州（California）和纽约州（New York），以
及对美国公司法有重大影响力的特内华（Delaware）州注册。 公司地点选择妥当后，
