这两天一直纠结是s corp还是c corp.本人绿卡，对double tax 理解不深。
公司的收入如果用一部份雇人的话，那么给人发工资，以及consulting fee 这部分，
算tax的时候，对于公司来讲，就不再tax了，就是只对net profit 进行tax，而不是对
总的sales ( income）tax 对吗？当然个人（consultant, employee，对自己收入上税
）。 那么这样的话，公司前期由于不能怎么赚钱，s 或c 都所谓了？
第二个问题， s 或c 的公司可以这样干吗？ 就是issue 100 million shares, major
share holder 9 million （只有一个incorporator) , CEO about 1 million, 剩下
90million reserve在公司， 如果有投资或新的share holder进来也方便。好像 s 不
能这么干？ share capital现在不用太高，100快也可以，对不？ 如果新的share

发帖数: 100 | 5 我怎么觉得国内疫苗有问题，应该对SVA利好啊。有问题，监管严了，像江苏那种就作
假的企业就会被曝光淘汰掉了，那对剩下的老实生产的企业应该是有好处的。像SVA在
大连收购的那个疫苗企业，之前也是因为作假而被关掉了。剩下的厂房和设备就被SVA
捡了便宜。
其实业绩挺好的，２００９年每股净利0.41，现在市盈率15不到。唯一不好的消息就是
报表中预计２０１０销售收入６０－７０million，比之前估计的90million低。但是比
起２００８的正常年份的４６million还是大幅增长了。２０１０年股价可能不会有很
大的起色。但是考虑SVA在大连和昌平收购的两个厂房，估计产能是翻倍了（１亿支疫
苗？），再加上政府对公共卫生投入的重视和增加，未来（那两个厂投产以后）的产量
和销量不会低吧。最近明显感觉庄家在打压。一出报表，就有机构配合调低等级，太巧

bought 400 million dollars of convertible preferred stocks, which is to be
70% of the market cap. So based on the deal, the existing 90 million shares
outstanding per share price will be worth about (400 /70% -400)/90million =
1.5. But currently the market basically is pricing the company at 670
million dollars total market cap. I guess it's ok for a company making 100

亚洲人比西方人在体重相近时更容易得糖尿病高血脂啥的，这主要跟基因有关。向心性
肥胖，体脂高，这也是为什么WHO给亚洲人定义肥胖时BMI比西方人低
